Terms of Service

You must be at least 13 years old to use the Services and at least 18 (or the age of majority where you live) to make a purchase or RSVP to an event. If you use the Services on behalf of a company, you confirm you are authorized to bind it to these Terms.

You are responsible for keeping your login details secure and for everything that happens under your account. Tell us promptly at hello@solidgrnd.co if you suspect unauthorized use. We may refuse service, suspend or close any account, or cancel any order, at our discretion and without liability, including for suspected fraud, chargebacks, abuse or a breach of these Terms.

• All prices are in US dollars unless shown otherwise. Payments are processed by Stripe; we never see or store your full card number.
• Your order is an offer to buy. A contract is formed only when we confirm the order (for example, by email or by delivering your download or license key). We may decline or cancel any order before then, including where a price, description or availability was shown in error, and will refund any payment taken for a cancelled order.
• You are responsible for any sales, use, VAT, customs, import duties or similar taxes and fees charged on your order, other than taxes on our income.
• Prices, products and features may change at any time. A price change does not affect an order we have already confirmed.
• If you file a chargeback or payment dispute for an order you received, we may suspend your account and revoke any license connected to that order while the dispute is open, and permanently if it is decided in your favor.

All solidground plugins and software, including trials, updates and free downloads, are licensed to you, not sold, under our Software License Agreement (EULA). The EULA applies to every solidground product, current and future, and controls if it conflicts with these Terms on a software matter. Free trials are provided so you can confirm a product works on your system before you buy it.

• Some products are made, roasted, printed or shipped by third-party fulfillment partners (for example, coffee is roasted and shipped by Roastify). We share your name, shipping address and order details with them to fulfill your order.
• Shipping times are estimates and are not guaranteed. Title and risk of loss pass to you when we or our partner hand the order to the carrier. We are not responsible for delays, loss or damage caused by carriers, customs, an incorrect address you gave us, or events beyond our control, though we will help you file a claim where we can.
• Colors, sizes, fit and appearance may vary from photos and screens. Check the size guide before ordering.
• Coffee and food products. Our coffee contains caffeine. Consult a doctor before consuming caffeine if you are pregnant, nursing, sensitive to caffeine or have a medical condition. Products may be processed in facilities that also handle common allergens. Hot beverages can cause serious burns; prepare and handle them carefully. Store coffee as directed and do not consume it if it appears spoiled. Statements about flavor, origin or roast are descriptive only and are not health or medical claims.
• Returns and refunds for physical goods are covered by the Refund Policy.

RSVPs are free unless stated, do not guarantee entry, and may be limited. We may change, move, postpone or cancel any event at any time, and may refuse entry to or remove anyone, without liability. Venues may set their own rules, age limits and ID requirements, which you must follow.

You attend events voluntarily and at your own risk. Events may involve loud music that can damage hearing, crowds, low lighting, food and drink (including alcohol, served only to those of legal age by the venue), physical activity and other risks. You are responsible for your own conduct, health, safety, transportation and belongings.

To the fullest extent permitted by law, you assume all risks of attending any event, and you release solidground and its owner, partners, contractors, venues and volunteers from all claims for injury, illness, death, property loss or damage arising from or related to your attendance, except to the extent caused by our gross negligence or willful misconduct.

Events may be photographed, filmed or recorded. By attending, you allow us to capture and use your image, likeness and voice in recordings of the event for promotion and content, in any media, without payment. If you do not want to be featured, tell a host on the day or email us afterwards and we will make reasonable efforts to avoid or remove you from future use.

You own what you post (bug reports, feature requests, comments, emails and other submissions, your “Content”). You give solidground a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, transferable and sublicensable license to host, use, copy, display, modify and distribute your Content in connection with the Services. Suggestions and feedback may be used to build or improve any product without any obligation, credit or payment to you.

Your display name or email address may appear next to posts you submit. Do not post anything you do not want to be public. You agree not to post content that is unlawful, infringing, defamatory, harassing, hateful, sexually explicit, spam, malware, or that contains anyone's private information. We may remove any Content and suspend any user at our discretion, but we do not review everything and are not responsible for content posted by others.

You agree not to:

• use the Services for anything illegal, or to infringe anyone's rights;
• probe, scan, overload, scrape or interfere with the Services, or try to gain unauthorized access to any account, system or data;
• bypass any license check, payment step, download limit or security measure;
• create accounts by automated means or under false pretenses, or impersonate anyone;
• resell products or downloads without our written permission.

Articles, tutorials, videos, presets and other content on the Services are provided for general information and entertainment only. They are not professional, legal, financial, medical, health or technical advice, and we do not guarantee they are accurate, complete or current. You act on them at your own risk.

The Services and everything in them, including software, designs, text, graphics, logos, audio, video and the solidground name and marks, belong to solidground or its licensors and are protected by law. Except for the licenses we expressly give you, no rights are granted. Third-party names (for example, DAW and plugin-format names such as VST, Audio Units, Ableton Live or Logic Pro) are trademarks of their owners, used only to describe compatibility, and do not imply endorsement.

Copyright complaints. If you believe something on the Services infringes your copyright, email hello@solidgrnd.co with: your contact details; a description of the work; the URL of the material; a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and you are the owner or authorized to act for the owner; and your physical or electronic signature. We will remove infringing material and terminate repeat infringers where appropriate.

The Services rely on and link to third parties we do not control, including Stripe (payments), Microsoft Azure (hosting), Resend (email), Roastify and other fulfillment partners, Meta (Facebook and Instagram), carriers and event venues. Their services are governed by their own terms, and we are not responsible for their acts, omissions, content, availability or security.

The Services, and all software, content, products and events, are provided “as is” and “as available”, with all faults and without warranties of any kind. To the fullest extent permitted by law, solidground disclaims all warranties, express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy and quiet enjoyment, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that any software or file is free of harmful components.

To the fullest extent permitted by law, in no event will solidground, or its owner, employees, contractors, partners, licensors or suppliers, be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, recordings, projects, goodwill or business, loss of use, cost of substitute goods or services, personal injury, hearing damage, or damage to equipment, however caused and under any theory of liability (contract, tort including negligence, strict liability, product liability or otherwise), even if advised of the possibility of such damages.

Our total liability for all claims relating to the Services or these Terms will not exceed the greater of (a) the amount you paid us for the specific product or service giving rise to the claim in the 12 months before the claim arose, or (b) fifty US dollars (US $50).

These limits apply even if a remedy fails of its essential purpose, and they are a fundamental part of the bargain: our prices would be higher without them.

You will defend, indemnify and hold harmless solidground and its owner, employees, contractors and partners from any claims, losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising from your use or misuse of the Services or any product, your Content, your conduct at any event, or your breach of these Terms or any law or third-party right.

Talk to us first. Before filing any claim, you agree to email hello@solidgrnd.co with a description of the dispute and give us 60 days to try to resolve it informally.

Binding arbitration. If we cannot resolve it, any dispute, claim or controversy arising from or relating to the Services or these Terms will be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, before a single arbitrator. The arbitration may be held by video or phone, or in Texas, and judgment on the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs this section.

Exceptions. Either of us may bring an individual claim in small-claims court, and either of us may seek an injunction in court to stop infringement or misuse of intellectual property.

You and solidground each waive the right to a jury trial and the right to bring or take part in any class, collective, consolidated or representative action. Claims may be brought only on an individual basis.

Opt-out. You may opt out of this arbitration agreement by emailing hello@solidgrnd.co within 30 days of first accepting these Terms, with your name, account email and a clear statement that you opt out of arbitration. If the class-action waiver is found unenforceable for any claim, that claim must be decided in court, not in arbitration.

Time limit. To the extent permitted by law, any claim must be brought within one year after it arose, or it is permanently barred.

These Terms are governed by the laws of the State of Texas and applicable US federal law, without regard to conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods does not apply. For any matter not subject to arbitration, you and solidground agree to the exclusive jurisdiction of the state and federal courts located in Texas.

• We may update these Terms at any time by posting a new version here and changing the date above. Material changes will apply going forward only. If you keep using the Services after a change, you accept the new Terms.
• We may change, suspend or discontinue any part of the Services at any time. Sections that by their nature should survive termination (including licenses you granted us, payment obligations, disclaimers, limitations of liability, indemnity and dispute terms) will survive.
• We are not liable for any failure or delay caused by events beyond our reasonable control, including outages of hosting, payment or shipping providers, natural disasters, illness, labor disputes, government action or internet failures.
• If any provision is found unenforceable, it will be limited to the minimum extent necessary and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them, for example in a sale or reorganization of the business. These Terms are the entire agreement between us about the Services.
• Your statutory rights. Some jurisdictions do not allow certain warranty exclusions or liability limits, or give consumers rights that cannot be waived by contract. Nothing in these Terms limits those rights, or our liability for anything that cannot legally be limited, and these Terms apply to the maximum extent the law allows where you live.
